Changes to the board of directors of Midwestern Oil & Gas Company Limited

CHANGE TO THE BOARD OF DIRECTORS OF MIDWESTERN OIL & GAS COMPANY LIMITED

The Board of Directors of Midwestern Oil & Gas Company Limited (the “Company”) is pleased to announce the following changes:

1. Resignation of Mr. Onajite Okoloko:

After leading the board for 20 excellent years, Mr. Onajite Okoloko has resigned as the Chairman and a Non-Executive Director of the Board, effective 14 July 2023. Mr. Okoloko, as the founder and inaugural Chairman of the Company, has played a pivotal role in propelling the Company’s growth within the Nigeria Oil & Gas sector. Under his leadership, the Company has achieved significant milestones, including becoming the highest marginal field producer and promoting the equally successful midstream subsidiary, Umugini Pipeline Infrastructure Limited (UPIL).

We express our sincere gratitude for Mr. Okoloko’s valuable contributions to the Company and wish him the utmost success in his future endeavors.

2. Resignation of Mr. Chris Omoru:

Mr. Chris Omoru has resigned as a Non-Executive Director of the Board, effective 14 July 2023. Before his directorship, Mr. Omoru held several senior management positions within the Company and currently serves as the Managing Director of Mart Umusadege Resources Nigeria Limited, a subsidiary company (MURNL).

We appreciate Mr. Omoru for his dedicated service and valuable contributions to the Company.

3. Appointment of Ms. Maryam “Mairo” Bashir:

The Board is pleased to announce the appointment of Ms. Maryam “Mairo” Bashir as an Independent Non-Executive Director, effective 14 July 2023. Ms. Bashir brings to the Board extensive global executive experience spanning over 30 years across various industries. Her expertise lies in strategy and business development, operational management, and organizational process improvement. She has served on numerous boards, including as Executive Director of United Bank of Africa and Chairperson of First Aluminium Nigeria Plc. Ms. Bashir holds board positions at Dangote Sugar Refinery, Cardinal Stone Partners Limited, CAM Dairy Foods Ltd, and serves as Chairperson of Cardinal Stone Asset Management Ltd.

Ms. Bashir holds a B.Sc. in Business Administration from Ahmadu Bello University, Nigeria, and an MBA with a concentration in Finance from the University of Jos, Nigeria.

We congratulate Ms. Bashir on her appointment and warmly welcome her to the Board.
